Terms of Service

Please read these Terms carefully. By accessing this website or engaging Conteh-Brown & Co. for services, you agree to be bound by the terms below. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.

About Conteh-Brown & Co.

Conteh-Brown & Co. ("C&B," "the Firm," "we," "our") is a professional services firm headquartered in Glen Allen, Virginia, providing strategic advisory, construction management, government contracting support, project management, communications, and workforce consulting services to private and public sector clients across the United States.

These Terms of Service govern your use of our website at conteh-brown.com and any engagement with our services, whether initiated through this website, direct outreach, or a formal agreement.

Section 2

Services

C&B provides professional consulting and advisory services. The scope, timeline, and deliverables of any engagement are defined in a separate written agreement, proposal, or statement of work ("SOW") executed between C&B and the client. These Terms apply in addition to, and do not replace, any such agreement.

We reserve the right to decline, modify, or discontinue services at any time. Nothing on this website constitutes a binding offer of services. An engagement is established only upon execution of a written agreement or formal acceptance of a proposal.

Section 3

Fees, Payment & Billing

Fees are set forth in the applicable proposal or SOW. Unless otherwise stated in writing:

  • Invoices are due within 15 days of issuance.
  • A late fee of 1.5% per month applies to balances unpaid after 30 days.
  • Retainer and project fees are non-refundable once a scope of work has commenced.
  • C&B reserves the right to suspend services on accounts with outstanding balances exceeding 30 days.
  • Expenses incurred on behalf of the client (travel, printing, filing fees, etc.) are billed at cost and require prior written approval for amounts exceeding $250.

All fees are stated in U.S. dollars. Clients are responsible for any applicable taxes unless the client provides a valid exemption certificate.

Section 4

Intellectual Property

All content on this website — including text, graphics, logos, photography, and design — is the property of Conteh-Brown & Co. and is protected under applicable copyright, trademark, and intellectual property laws. Reproduction, distribution, or modification without written consent is prohibited.

For client deliverables: upon receipt of full payment, C&B grants the client a non-exclusive license to use the deliverables for the purposes specified in the SOW. C&B retains ownership of all underlying methodologies, frameworks, templates, and tools used to produce deliverables unless a full assignment of rights is expressly negotiated and documented in writing.

C&B reserves the right to reference the engagement for portfolio, marketing, and case study purposes unless the client requests confidentiality in writing prior to engagement.

Section 5

Confidentiality

C&B treats all client information shared during an engagement as confidential. We do not sell, license, or disclose client information to third parties except as required to deliver the agreed scope of work, as required by law, or as authorized by the client in writing.

Clients agree to treat as confidential any proprietary methodologies, pricing structures, internal processes, or non-public information shared by C&B during an engagement.

For engagements requiring heightened confidentiality — including government contracting, sensitive organizational matters, or executive advisory — a separate Non-Disclosure Agreement (NDA) is available upon request and may be required prior to engagement.

Section 6

Client Responsibilities

Effective delivery depends on client cooperation. By engaging C&B, clients agree to:

  • Provide accurate, complete, and timely information required to perform the scope of work.
  • Designate a point of contact with authority to provide approvals and decisions.
  • Respond to requests for feedback, approvals, or materials within the timeframes specified in the SOW.
  • Notify C&B promptly of any material changes in project scope, organizational structure, or strategic direction.

Delays caused by client non-responsiveness or failure to provide required materials may result in timeline extensions or additional fees, which will be communicated in writing before being applied.

Section 7

Limitation of Liability

C&B provides professional advisory and consulting services. Our recommendations, analyses, and deliverables are based on the information available at the time of engagement. We do not guarantee specific outcomes, contract awards, revenue results, or business performance.

To the fullest extent permitted by law, C&B's total liability to any client for any claim arising out of or related to an engagement — regardless of the form of the claim — is limited to the total fees paid by that client for the specific engagement giving rise to the claim in the three months preceding the claim.

C&B is not liable for indirect, incidental, consequential, punitive, or special damages of any kind, including lost profits, lost revenue, or loss of business opportunity, even if advised of the possibility of such damages.

Section 8

Indemnification

You agree to indemnify, defend, and hold harmless Conteh-Brown & Co., its principals, employees, and agents from any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to your use of our website, your violation of these Terms, or your misuse of deliverables beyond the licensed scope.

Section 9

Website Use

This website is provided for informational purposes. You agree not to use it to transmit harmful, unlawful, or misleading content; attempt to gain unauthorized access to any system or data; scrape, harvest, or collect information without written consent; or misrepresent your identity or affiliation when submitting inquiries or forms.

C&B reserves the right to block access to any user who violates these terms or engages in conduct detrimental to the Firm or its clients.

Section 10

Third-Party Links & Tools

This website may link to third-party platforms including scheduling tools, project intake forms, and external resources. C&B is not responsible for the content, privacy practices, or terms of any third-party platform. Links are provided for convenience and do not constitute endorsement.

Section 11

Termination

Either party may terminate an engagement by providing written notice as specified in the applicable SOW or agreement. Upon termination:

  • The client is responsible for fees incurred through the termination date, including any non-cancellable expenses already committed.
  • C&B will deliver all completed work product for which payment has been received.
  • Confidentiality obligations survive termination indefinitely.
  • Sections 4, 5, 7, 8, 12, and 13 of these Terms survive termination.
Section 12

Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any dispute arising under these Terms or a client engagement will first be submitted to good-faith negotiation between the parties. If unresolved within 30 days, disputes will be submitted to binding arbitration administered in Henrico County, Virginia, under the rules of the American Arbitration Association (AAA).

Nothing in this section prevents either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm.

Section 13

Modifications to These Terms

C&B reserves the right to update these Terms at any time. Material changes will be noted by updating the "Last Updated" date at the top of this page. Continued use of this website or our services following any update constitutes acceptance of the revised Terms.
